Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of EGCA Consulting's website, services, and consulting engagements. By accessing or using our services, you agree to be bound by these Terms.

EGCA Consulting (Expert Global Consulting Agency) is a global operational excellence consulting firm providing services across mining, oil & gas, manufacturing, and heavy industries.

Services Provided

EGCA Consulting provides the following professional services:

  • Operational efficiency consulting for mining and processing
  • Supply chain optimization
  • Capital project optimization and implementation
  • Cost reduction and throughput improvement
  • Energy efficiency and transitioning
  • Digitalization and management operating system development
  • Engineering and maintenance optimization

Consulting Engagement Terms

Scope of Work

Each consulting engagement will be governed by a separate written agreement ("Statement of Work" or "Engagement Letter") that specifies:

  • Specific services to be provided
  • Deliverables and timelines
  • Fees and payment terms
  • Confidentiality obligations
  • Intellectual property rights

Client Responsibilities

Clients engaging our services agree to:

  • Provide accurate and complete information
  • Grant necessary access to facilities, data, and personnel
  • Designate authorized representatives for decision-making
  • Comply with payment terms as specified in the engagement letter
  • Maintain confidentiality of proprietary methodologies shared

Intellectual Property

EGCA Property

All methodologies, frameworks, tools, templates, and pre-existing intellectual property used by EGCA Consulting remain our exclusive property. This includes our proprietary approaches to:

  • 3-Phase consulting approach (Diagnostic → Implementation → Sustainability)
  • 5-Step process methodology
  • 6-Arm implementation framework
  • Diagnostic tools and assessment frameworks

Client Deliverables

Specific deliverables created for clients (reports, recommendations, SOPs) become client property upon full payment, unless otherwise specified in the engagement agreement. EGCA retains the right to use anonymized insights for improving our methodologies.

Confidentiality

Both parties agree to maintain confidentiality of all proprietary information shared during the engagement. This includes:

  • Operational data and performance metrics
  • Strategic plans and initiatives
  • Financial information
  • EGCA's proprietary methodologies and tools
  • Any information marked as confidential

Confidentiality obligations survive termination of the engagement and remain in effect for 5 years unless otherwise specified.

Fees and Payment

Consulting fees are specified in each engagement letter and may include:

  • Fixed project fees
  • Time and materials billing
  • Retainer arrangements
  • Performance-based compensation (where applicable)

Payment Terms: Invoices are due within 30 days of receipt unless otherwise agreed. Late payments may incur interest at 1.5% per month or the maximum rate permitted by law.

Expenses: Reasonable travel and other direct expenses will be billed separately with supporting documentation.

Warranties and Disclaimers

Professional Standards: EGCA Consulting will perform services in accordance with professional industry standards and with reasonable skill and care.

No Guarantees: While we strive to deliver measurable results, we cannot guarantee specific outcomes. Actual results depend on many factors including client implementation, market conditions, and operational variables beyond our control.

Website Availability: We make no warranty that our website will be uninterrupted, error-free, or secure. The website is provided "as is" without warranties of any kind.

Limitation of Liability

To the maximum extent permitted by law, EGCA Consulting's total liability for any claims arising from or related to our services shall not exceed the total fees paid by the client for the specific engagement giving rise to the claim.

In no event shall EGCA Consulting be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or lost data.

Termination

Either party may terminate a consulting engagement as specified in the engagement letter. Generally:

  • Either party may terminate with 30 days written notice
  • Immediate termination is permitted for material breach
  • Client remains responsible for fees accrued through termination date
  • EGCA will deliver work completed to date upon payment

Confidentiality, intellectual property, and payment obligations survive termination.

Governing Law and Dispute Resolution

These Terms and any disputes arising from them shall be governed by the laws of South Africa. Any disputes will be resolved through:

  1. Good faith negotiation between the parties
  2. Mediation if negotiation fails
  3. Arbitration or litigation as specified in the engagement letter

Website Use Restrictions

You agree not to:

  • Use the website for any unlawful purpose
  • Attempt to gain unauthorized access to any portion of the website
  • Interfere with or disrupt the website or servers
  • Use automated systems to access the website without permission
  • Reproduce, modify, or distribute website content without authorization

Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the website. Your continued use of our services after changes constitutes acceptance of the modified Terms. Material changes will be communicated to active clients via email.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
